Position Summary


The Corporate Counsel will principally support CDK’s North America operations, including sales, marketing, and operations teams and will partner closely with the business, providing solution-oriented counsel to all levels of management on a wide variety of complex legal and business issues.


Position Responsibilities & Essential functions


  • Negotiating and drafting strategic customer, vendor and partner agreements, including sales, distribution, marketing, and technology services agreements
  • Assisting in strategic projects and transactions, including M&A, joint ventures, and other corporate development transactions
  • Partnering with revenue recognition, sales operations, tax, compliance, privacy, security and other stakeholder teams to ensure transactions and agreements are consistent with internal corporate policies and processes
  • Providing business-driven, practical advice on legal risks and mitigation strategies and supporting good governance through appropriate discussion and escalation of issues
  • Assisting in compliance initiatives, including the development of policies, procedures and training as needed
  • Handling and prioritizing a high and diverse volume of transactions and other legal matters with limited supervision
  • Support miscellaneous corporate projects as needed


Qualifications & Job Requirements


  • Three to six years of law firm and/or in-house experience, with a focus on commercial transactions, ideally in the software and/or technology services space
  • Excellent drafter of complex commercial agreements, including sales, marketing, technology services, and enterprise agreements
  • Excellent negotiation, presentation, analytical, communication, and interpersonal skills
  • Superior judgment, creative problem-solving, communication, and project-management skills
  • An interest in and understanding of commercial and business matters
  • Talent for proactively anticipating the needs of the business and prioritizing among competing projects and tasks
  • Attention to detail, a “do it right the first time” approach, and an appreciation of the consequences of risk and decision-making in a business context
  • Ability to collaborate effectively within the Legal team and across business units
  • Ability to work independently with minimal supervision
  • Positive, enthusiastic, and results-driven approach to the role and the team
  • Active membership and good standing in at least one state bar


Preferred Attributes & Qualifications


  • Expertise in understanding the nuance of legal issues impacting technology transactions, including the application and impacts of data privacy, security, and intellectual property principles
  • Knowledge of or familiarity with the automotive retail industry
  • M&A transaction experience, including the ability to review, analyze, negotiate and draft agreements, perform due diligence, and lead cross-functional initiatives
  • Familiarity with competition law matters related to sales, marketing and distribution
